These ALLTRAILS PUBLIC LANDS PROGRAM SUPPLEMENTAL TERMS (these “Terms”) solely govern your use of the AllTrails Public Lands Program features of the AllTrails Products (collectively, the “PLP Features”), and form part of the Terms of Service (the “Agreement”) between you and AllTrails, LLC (“AllTrails”, “us”, “our”, and “we”), which is hereby incorporated by reference. These Terms are effective as of the earlier of the date of your acceptance of these Terms or your use of the PLP Features (the “Supplemental Terms Effective Date”). In the event of any conflict between the Agreement and these Terms, the provisions of these Terms shall govern solely with respect to your use of PLP Features. Capitalized terms not defined in these Terms shall have the meaning set forth in the Agreement.

 

BY SIGNING UP TO USE THE PLP FEATURES, OR OTHERWISE ACCESSING OR USING THE PLP FEATURES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH ALLTRAILS, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS ON BEHALF OF THE LEGAL ENTITY IDENTIFIED DURING THE PUBLIC LANDS PROGRAM REGISTRATION PROCESS. THE TERM “YOU” IN THESE TERMS REFERS TO SUCH LEGAL ENTITY. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU SHALL NOT RECEIVE OR BE ENTITLED TO ANY OF THE RIGHTS SET FORTH IN THESE TERMS.

 

  1. The Public Lands Program
    1. Registration. To become eligible to use the PLP Features by joining the AllTrails Public Lands Program, you may be required to fill out a registration form about your organization. By registering to join the Public Lands Program, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the registration form (the “Registration Data”); and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if AllTrails has reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current or incomplete, AllTrails has the right to suspend or terminate your membership in the Public Lands Program and refuse any and all current or future use of the PLP Features.
    2. PLP Features. The PLP Features are features of the Products which are made available to agencies and non-profit organizations that own or manage trail systems. The PLP Features are designed to help you understand how visitors use trails and resources within the land you manage (collectively, “Your Trails”), manage and edit information about Your Trails, connect with AllTrails Members, and share up-to-date alerts about Your Trails. Subject to your compliance with these Terms and the Agreement, AllTrails grants you a non-transferable, non-exclusive, revocable, limited license to use and access the PLP Features solely for the purposes of assisting with management of, advocacy with respect to, and connection with trail visitors regarding Your Trails (the “Program Purpose”).
    3. AllTrails Signposts. As part of your membership in the Public Lands Program, you may request free signage from AllTrails which may be posted at trailheads, in visitor centers, or other relevant locations (each, an “AllTrails Signpost”). AllTrails Signposts include QR codes which, when scanned by a visitor’s mobile device, redirects such visitors to Your Trails on the Products. AllTrails will create, print, and ship requested AllTrails Signposts to the address you identify in connection with your request at AllTrails’ expense.
  2. Data
    1. Trail Data. The PLP Features may allow you to provide, edit, and remove content and information about Your Trails, including trail names, descriptions, attributes, alerts, and routes (collectively, “Trail Data”). By providing or editing Trail Data, or if AllTrails enters Trail Data on your behalf, you grant to AllTrails an irrevocable, perpetual, royalty-free, and non-exclusive license to host, store, reproduce, adapt, modify, use, translate, publicly perform, publicly display, extract data from, and distribute the Trail Data to enable AllTrails to provide and improve the Products. Trail Data is User Material as used in the Agreement, and you agree that all Trail Data you provide in connection with your use of the PLP Features will comply with Section 6 of the Agreement in all respects. For clarity, you agree that AllTrails retains the right to review, moderate, and edit Trail Data before or after it is incorporated within the Products.
    2. PLP Data. You may be given access to certain data, statistics, and other information about Your Trails in connection with your use of the PLP Features (collectively, “PLP Data”). PLP Data may include viewer statistics, visitor heat maps, trail rating statistics, and information about visitors of Your Trails. Subject to your compliance with the Agreement, including these Terms, AllTrails grants you a non-exclusive, non-sublicensable, non-transferable, royalty-free license to use, store, and reproduce, and distribute the PLP Data solely for the Program Purpose. 
    3. PLP Data Restrictions. To the extent PLP Data includes any personally identifiable information, you represent and warrant that your use of such PLP Data will strictly comply with AllTrails’ Privacy Policy at all times. Without limiting any terms within the Agreement (including with respect to other types of Materials), you agree that you will not, except as necessary to assist with grant applications in furtherance of the Program Purpose: (a) disclose PLP Data to third parties without AllTrails’ prior written consent; or (b) extract data from, mine, process, or summarize PLP Data.
    4. Proprietary Data and Information.  Trail Data and PLP Data may constitute confidential and proprietary information. It is provided to the recipient with the understanding that it shall not be disclosed to any third parties without the express written consent of AllTrails. Trail Data and PLP Data is subject to protection from disclosure under state and federal Freedom of Information Act statutes, including the New York State Freedom of Information Law.  As confidential and proprietary information, these data should be withheld from disclosure to any third party. 
  3. Term; Termination
    1. Term. These Terms shall commence on the Supplemental Terms Effective Date and shall remain in effect until the earlier to occur of (a) termination of your membership in the Public Lands Program; or (b) termination of the Agreement. You may request your membership in the Public Lands Program at any time by contacting AllTrails at publiclands@alltrails.com.
    2. Effect of Termination. Termination of your membership in the Public Lands Program includes removal of access to the PLP Features and barring of further use of the PLP Features, including all PLP Data. AllTrails will not have any liability whatsoever to you for any suspension or termination of your access to the PLP Features or PLP Data. AllTrails may, but is not obligated to, delete or remove your Trail Data upon termination of these Terms. All provisions which by their nature should survive, shall survive termination of these Terms, including without limitation, Sections 2.3, 3.2, and 4. 
  4. Entire Agreement

These Terms, including the Agreement, constitutes the entire understanding of you and AllTrails with respect to the subject matter hereof, and supersedes all prior and contemporaneous written and oral agreements with respect to the subject matter. Except as expressly set forth herein, no modification will be binding unless it is in writing and signed by both you and AllTrails.
